FRESHBRAIN SCHOLARSHIP PROGRAM
TERMS & CONDITIONS
Entry deadline is February 28, 2009
The goal of the FreshBrain Scholarship Program is to reflect FreshBrain’s commitment to enhancing the education and development of teenagers in the areas of business and technology by providing hands-on real world experience and to contribute to the professional development of teenagers.
Before submitting an Application (defined below) please read the following FreshBrain Scholarship Program Terms & Conditions (“FreshBrain Scholarship Program T&Cs”) carefully. Scholarship grants may be forfeited if certain terms and conditions are not satisfied (See the Section below titled “Grant Process; Verification & Reimbursement” for further details.)
ELIGIBILITY REQUIREMENTS
1. Applicants must be:
a. Legal residents of the fifty (50) United States between the ages 13 and 18, who have an active e-mail account and Internet access;
b. Registered members of FreshBrain (See http://freshbrain.org/user/register) to join and become a “FreshBrain Member”); and
c. Enrolled in middle, high school or college and in good standing.
2. Applicants must submit a complete FreshBrain Scholarship Program application as further defined below (“Application”).
3. Applicants may not be employees of FreshBrain its affiliates, advertising, promotion, fulfillment or other coordinating agencies, participating merchants and/or donor companies, individuals providing services to FreshBrain and their respective immediate family members and persons living in their same household.
Submission of an Application constitutes the applicant’s full and unconditional agreement to and acceptance of these FreshBrain Scholarship Program T&Cs.
TERMS OF SCHOLARSHIP
1. Three scholarships will be granted, the winner five thousand dollars ($5,000), second place two thousand five hundred dollars ($2,500) and third place one thousand five hundred dollars ($1,500) each. The awards will be granted to fund the applicant’s participation in a 2 and/or 4 year college.
2. All scholarship grants are intended to be used for course related tuition, fees, books, supplies or other equipment required by the 2 and/or 4 year college.
APPLICATION INSTRUCTIONS
1. Applicants may submit their Applications online starting on December 6, 2008 at 12:00am (PST) by selecting the “Submit Entry” button / hyperlink from the FreshBrain Scholarship page.
2. Follow the directions on the FreshBrain Scholarship page completely. The applications must include, at a minimum, the following information and materials:
a. The submission will be completed as a project. Follow the link to create your project. All work should be done within this project. The project is then submitted as the entry to the scholarship.
c. Prior to the project being submitted, the following must be completed.
i. A document (pdf, word or text) that describes the process that was used to create the submission, uploaded into the file manager; and
ii. The actual submission, uploaded into the file manager.
d. The project must be closed; and
e. The project must be submitted.
APPLICATIONS WILL BE CONSIDERED INCOMPLETE AND WILL NOT BE EVALUATED IF ANY REQUIRED ITEMS ARE NOT INCLUDED.
3. Applications must be submitted on the FreshBrain website by February 28, 2009, 11:59pm (PST).
4. One Application per individual is allowed. The applicant’s submission must be original, of the applicant's own creation and may not violate the intellectual property or proprietary rights of other parties.
GRANT PROCESS; VERIFICATION & REMBURSEMENT
Applications will be evaluated by FreshBrain’s designated panel of judges and all decisions are final.

The criteria that will be used is:
Creativity (25%)
Use of Technology (25%)
Difficulty (25%)
Approach or Process (15%)
Age Appropriateness (10%)
All applicants selected to receive a scholarship grant will be notified by email no later than March 31, 2009; and will be required to sign and return an affidavit of eligibility and publicity/liability release (including the executed consent from his or her parent or legal guardian) within ten (10) days of notification.
All applicants selected to receive a scholarship grant must submit the following materials within twenty four (24) months from notice of his or her selection to receive the grant:
1. Proof of enrollment in middle, high school or college;
2. Proof of enrollment or participation in a Continuing Education Activity; and
3. The invoice for the Continuing Education Activity.
Upon verification of the Continuing Education Activity by FreshBrain, FreshBrain will provide the scholarship grant or portion thereof to the designated applicant. Multiple submissions made be made until the scholarship grand funds are depleted.
If a selected applicant cannot be contacted, is ineligible, fails to claim a scholarship grant and/or where the applicable an affidavit of eligibility and publicity/liability release is not timely received, is incomplete or modified, the scholarship grant will be forfeited and resubmitted to the scholarship grant fund.
Any funds which are unused during the twelve month period from notice will no longer be available to the applicant. The will be returned to the FreshBrain general scholarship fund.
GENERAL TERMS
FreshBrain is not responsible for late, lost, delayed, damaged, incomplete, illegible, or misdirected, applications, responses, or other correspondence, whether by e-mail or postal mail or otherwise, or for theft or destruction or unauthorized access or alterations of Applications, phone, electrical, network, computer, hardware, software program or transmission malfunctions, failures or difficulties.
FreshBrain shall have all rights to copy, edit, publicly display, publicly perform, broadcast, publish and use, in whole or in part, any Statement of Purpose and any other intellectual property protected or protectable materials submitted by applicant, in any manner without further compensation during and after the FreshBrain Scholarship Program entry period. Nothing herein shall constitute an employment, joint venture, or partnership relationship between an applicant and FreshBrain.
IN NO EVENT WILL FRESHBRAIN BE LIABLE TO ANY APPLICANT FOR ANY DIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF USE, DATA, BUSINESS OR PROFITS) ARISING OUT OF OR IN CONNECTION WITH YOUR PARTICIPATION IN THE FRESHBRAIN SCHOLARSHIP PROGRAM, WHETHER SUCH LIABILITY ARISES FROM ANY CLAIM BASED UPON CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, AND WHETHER OR NOT FRESHBRAIN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.
Applicants further agree to release, indemnify, defend and hold FreshBrain and its parent, affiliates, subsidiaries, directors, officers, employees, sponsors and agents, including advertising and promotion agencies, and assigns, and any other organizations related to the FreshBrain Scholarship Program, harmless, from any and all claims, injuries, damages, expenses or losses to person or property and/or liabilities of any nature that in any way arise from participation in this FreshBrain Scholarship Program or acceptance or use of a scholarship grant or parts thereof, including without limitation (i) any condition caused by events beyond FreshBrain’s control that may cause the FreshBrain Scholarship Program to be disrupted or corrupted; (ii) any injuries, losses, or damages (compensatory, direct, incidental, consequential or otherwise) of any kind arising in connection with or as a result of the scholarship grant, or acceptance, possession, or use of the scholarship grant, or from participation in the FreshBrain Scholarship Program; and (iii) any printing or typographical errors in any materials associated with the FreshBrain Scholarship Program.
ADDITIONAL CONDITIONS
Except where prohibited, by submitting an Application, the applicant consents to the use of his/her name, photo and/or likeness, biographical information, Statement of Purpose and statements attributed to the applicant (if true) for advertising and promotion purposes without additional compensation. All Applications become property of FreshBrain and none will be acknowledged or returned.
FreshBrain reserves the right, in its sole discretion, to cancel, modify or suspend the FreshBrain Scholarship Program in whole or in part, at any time for any reason, including but not limited to in the event of fraud, technical or other difficulties or if the integrity of the FreshBrain Scholarship Program is compromised, without liability to the applicant. FreshBrain reserves the right to disqualify any applicant, as determined by FreshBrain, in its sole discretion. The FreshBrain Scholarship Program is subject to these FreshBrain Scholarship Program T&Cs and all applicable federal, state, provincial and local laws and regulations apply. By participating in this FreshBrain Scholarship Program, you acknowledge that you have read these FreshBrain Scholarship Program T&Cs and agree to abide by them and by the decisions of FreshBrain, which are final and binding on all matters pertaining to the FreshBrain Scholarship Program. These FreshBrain Scholarship Program T&Cs are governed by the law of the State of California, without reference to rules governing choice of laws. Any action, suit or case arising out of, or in connection with, this FreshBrain Scholarship Program or these FreshBrain Scholarship Program T&Cs must be brought in either the federal courts located in the Northern district of California or the state courts located in San Francisco County, California.
